Realty Income To Merge With VEREIT® In All-Stock Transaction

SAN DIEGO and PHOENIX, April 29, 2021 /PRNewswire/ -- Realty Income Corporation (NYSE: O) ("Realty Income"), The Monthly Dividend Company^®, and VEREIT, Inc. (NYSE: VER) ("VEREIT") today announced that the two companies have entered into a definitive merger agreement by which Realty Income will acquire VEREIT in an all-stock transaction, creating a combined company with an enterprise value of approximately $50 billion. Under the terms of the agreement, VEREIT shareholders will receive 0.705 shares of Realty Income stock for every share of VEREIT stock they own.

 Immediately following the closing, the companies expect to effectuate a taxable spin-off of substantially all of the office properties of both companies into a new, self-managed, publicly traded REIT ("SpinCo"). Following the merger and the spin-off, Realty Income will continue as the surviving public entity. Realty Income and former VEREIT shareholders are expected to own approximately 70% and 30%, respectively, of both Realty Income and SpinCo. 

 Seems like a new spin-off company to be coming to portfolio soon..

Alliance Resource Partners LP reported results for Q1 and reinstated dividend at $0.10 per share, payable May 14th. Finally....

New purchase : Emera Inc.

Started a new position in portfolio with purchase of 10 shares of Emera Inc. (TSE:EMA).

Emera Inc. is a Canada-based energy and services company. The Company invests in electricity generation, transmission and distribution and gas transmission and distribution. Its segments include Florida Electric Utility, which consists of Tampa Electric, an electric utility; Canadian Electric Utilities, which includes Nova Scotia Power Inc., an electric utility and Emera Newfoundland & Labrador Holdings Inc., consisting of two transmission investments; Other Electric Utilities, which includes Emera (Caribbean) Incorporated, an holding company with regulated electric utilities that include The Barbados Light & Power Company Limited and Grand Bahama Power Company Limited, and Gas Utilities and Infrastructure, which includes Peoples Gas System, New Mexico Gas Company, Inc., SeaCoast Gas Transmission, LLC and Emera Brunswick Pipeline Company Limited.

Emera Inc. pays dividend with 2-5-8-11 schedule and my starting yield of cost is around 4.50%

Re-invested Fortum dividends back into Fortum (again) by adding 6 shares at 22.66€ per share. I now hold 129 shares of Fortum.

Dividend increase #12 of 2021 : Southern Company

Southern Company (NYSE:SO) declares $0.66/share quarterly dividend payable June 7 for shareholders of record May 17. This is a 3.1% increase over the previous quarterly dividend. Southern Company keeps growing the dividend steadily every April. Nice.

New Fortress Energy has acquired Golar LNG Partners LP

Golar LNG Partners LP (Nasdaq: GMLP) (“GMLP”) today announces the completion of its sale to New Fortress Energy Inc. (“NFE”).

 

Under NFE’s merger agreement with GMLP, NFE acquired all of the outstanding common units of GMLP for $3.55 per common unit in cash. NFE also acquired GMLP’s general partner for equivalent consideration. The transaction is valued at a $1.9 billion enterprise value and $251 million equity value. The Series A preferred units of GMLP will remain outstanding following the merger.

 

I should be getting $3.55 per share soon. So long GMLP....

New position in portfolio started with purchase of 16 shares of Pembina Pipeline Corporation (TSE:PPL).

Pembina Pipeline Corp is a Canada-based transportation and midstream service provider. The Company owns an integrated system of pipelines that transport various hydrocarbon liquids and natural gas products produced primarily in western Canada. It also owns gas gathering and processing facilities and an oil and natural gas liquids infrastructure and logistics business. The Company’s integrated assets and commercial operations along the majority of the hydrocarbon value chain allow it to offer a full spectrum of midstream and marketing services to the energy sector. Pembina Pipeline Corp is structured into three Divisions: Pipelines Division, Facilities Division and Marketing & New Ventures Division.

Pembina Pipeline Corp pays dividend monthly and my starting yield on cost is 6.92%
